The Prague Securities Centre (SCP) was established at the beginning of 1993 as an institution aimed at promoting the development of capital market. The SCP implements the tasks set down above all in Act No. 591/1992 Coll., i.e., the Securities Act, as amended.
The SCP was estalished by the Czech Republic Ministry of Finance in the legal form of a contribution organization (in accordance with the Budget Rules Act). The basic task of the SCP is keeping the register of dematerialized, i.e., booked securities and of the owners thereof. Under the Securities Act, selected types of capital market securities, i.e., shares, bonds, mutual fund certificates, and investment vouchers may exist in dematerialized form. The issuer (general meeting in a joint-stock company) decides whether the securities shall have dematerialized form. Prague Securities Centre (SCP) Organization Structure, Contents of SCP Organizational Units ActivitiesThe statutory representative of the Prague Securities Centre (SCP) is the Managing Director who manages the SCP and is responsible for the activities thereof. Internal Administration Department Contents of the individual departments activities: The Internal Administration DepartmentManages administration activities and agenda as well as technical and organizational work necessary for the current functioning of the Organization. It registers the SCP internal regulations as well as the regulations of the partner and co-operating institutions of capital market. It carries out the mailing agenda and keeps the central protocol. It ensures the operation and conceptual development of the SCP internal information system and the administration of the statutory register archives. The department draws up the SCP budget and supervises the implementation thereof, keeps the SCP accounting, and carries out banking operations; at the same time, it also controls the legitimity and correctness of invoicing related to the services carried out through the Asseco Czech Republic, a.s. It conducts the agenda connected with the claims recovery and keeps the register of the SCP property. It co-operates with auditors, tax advisers, and special units of the founder authority. It makes economic analyses as well as statistical analyses of the services provided. It makes price assessment relating to the individual SCP services and suggests modifications of prices listed in the SCP Price List. The department carries out internal audit, manages and controls information safety, and ensures the activities of the crisis management unit. It carries out the wage and personnel agenda.The Customer Services DepartmentEnsures the proper functioning of the register kept by the SCP in accordance with the applicable laws. It ensures the supply of information, both for the external and internal uses, relating to SCP activities and services, and ensures the administration of the INFO system and the maintenance thereof. It assembles, processes and publishes information that follows from the SCP information obligations, and carries out sales of such information. It concludes contracts with clients on services provided, negotiates with securities issuers and with securities dealers. It ensures certification relating to hedged communication with clients and issues owner account electronic safety cards. From the methodical aspect, it manages SCP Offices, and coordinates and supervises their activities. It deals with legal problems connected with SCP activities, and investigates and solves complaints, reclamations, and objections. The department carries out external supervision of SCP contractual partners. It assesses and handles the inquiries of the state authorities, processes information relating to, respectively, bankruptcy proceedings, demands and claims presented by notaries and bailiffs. It carries out the registration in the SCP register of binding instructions issued by the state authorities, and processes output information from the SCP register upon the requirements of the Czech National Bank. The department carries out controls of the database.The Project Support ManagerHandles and coordinates the cooperation in the maintenance project of the SCP registration system (including OČE and SOPF systems), and gives methodical backing to the said project. Participates in the dealings of working groups discussing observations on legislation, keeps under review and coordinates the SCP activities realized in accordance with legislative changes on capital market. Participates in the international cooperation in the field of capital market. |
